Laurie McQueen

Lawyer

Laurie is a member of the Mergers and Acquisitions and Corporate and Commercial groups.  She regularly assists clients with private equity and venture capital investments, add-ons and divestitures, corporate governance and reorganizations and shareholder matters, as well as advising on global joint ventures, strategic partnerships, collaborative R&D arrangements, licensing agreements and other commercial agreements and transactions.  Laurie’s experience includes both top-tier law firm and in-house counsel experience as well as extensive managerial roles in consumer banking in North America and France.  Her collective experiences, including regular dealings with business owners, senior executives and boards, allows Laurie to quickly grasp the demands and needs of her clients and to tailor practical, business oriented solutions. In 2011 Laurie was one of three finalists for the Young Bar of Montreal Association’s “Lawyer of the Year – Corporate Law”.

Outside of the firm, Laurie is an active member of the “Association des Femmes en Finance du Québec”, where she sits on the committee Women on Boards, and is a director and treasurer with the Association Communautaire d’Emprunt de Montreal (ACEM).

 

Representative Work

Acted for a large Quebec-based transportation company in connection with various acquisitions of other transportation companies.

Acted for the buyers of Groupe Planete Mobile Inc. and certain affiliated entities in a transaction financed by Roynat Inc. and Capital Croissance PME II S.E.C.

Acted for a group of investors in connection with the investment in and reorganization of two Montreal-based food manufacturers and distributers.

Advised and negotiated an equity and debt financing for a distressed Quebec-based manufacturer involving a large group of minority shareholders.

Acted for a Canada-wide franchise company operating the La Prep franchises in connection with the sale of its assets.

Represented the purchaser in the acquisition of substantially all the assets related to the manufacturing of Commensal products from Imvescor Restaurant Group Inc.

Acted for Supremex Inc., a leading North American manufacturer and marketer of envelopes and provider of packaging and specialty products, in its acquisition of Groupe Deux Printing Inc. and its related company, Pharmaflex Labels Inc., a leading manufacturer of premium quality folding carton packaging and labels primarily for the pharmaceutical industry.

Acted for Mylo Financial Technologies Inc. in its private equity offering of securities and convertible debt.

Represented emerging companies with respect to seed and Series A financing.
