• Acted in connection with the acquisition of a majority interest of an entity operating in the importing, exporting, distributing, packaging, labelling, warehousing, and commercializing of fruits and vegetables.
• Acted in connection with the acquisition of all issued and outstanding shares of a company whose business involves manufacturing, distributing, transforming, and/or selling wires and cables, including electric cables and wires, for all purposes, including for residential, commercial, and industrial construction.
• Acted on behalf of a network of hearing care clinics across Quebec in respect to the acquisition of a competitor, enabling it to increase its network to a total of 21 clinics across the province of Quebec.
• Acted on behalf of Nadav Shenker in his acquisition of all the issued and outstanding shares of Vircom, a leading provider of cloud cybersecurity solutions and on-premises email solutions.
• Acted on behalf of Groupe Loyal Express in connection with its acquisition of Groupe Lamarche and Entrepôt Lanerco.
• Acted on behalf of AWL-ELECTRICITY INC. (“AWL-E”), a Montreal-based tech start-up with a revolutionary technology for wireless power transmission, in connection with the final closing of its Seed financing round by way of issuance of Series 3 Class Seed Preferred Shares.
• Acted on behalf of CDS Foods Inc. (“CDS”), a business of importing and distributing food, including but not limited to garlic, ginger, shallots, and turmeric, in connection with the sale of all of the issued and outstanding shares held by the shareholders of CDS to the private equity firm, a North American private equity firm.
• Acted on behalf of Polystyvert Inc., a Montreal-based cleantech start-up in the recycling space with a revolutionary technology for recycling polystyrene, in connection with its $16M Series B financing round involving new investors and current shareholders from the Netherlands, Canada, the USA, and France.
• Acted in connection with the acquisition of a majority interest of an entity operating in the telecommunications industry responsible for distributing and selling products throughout Canada.
• Acted on behalf of SupremeX Inc., a leading North American manufacturer and marketer of envelopes and a growing provider of paper-based packaging solutions, in connection with its approximately $6M acquisition of Graf-Pak Inc., a manufacturer of folding carton products primarily provided to the food and cosmetics sectors.
• Acted on behalf of BXVentures Studio Canada in respect of the creation and first round financing of the first Canadian cleantech venture studio, which focuses on the accelerated development and commercialization of cleantech IP originating in Canadian universities and laboratories.
• Acted on behalf of a VoIP, unified communications, and fiber optics solutions provider in connection with its acquisition of all issued and outstanding shares of a supplier of IP telephony services.
• Acted on behalf of a group of investors in connection with the Series A financing in a Montreal-based MedTech start-up developing a novel patented system.
