Suzanne’s practice focuses on corporate finance, banking law, financial services, and commercial law.

Suzanne’s financing practice includes asset-based lending, syndicated lending, structured finance, factoring, private equity, project finance, asset finance and leasing, restructuring transactions, and related areas.  She regularly represents financial institutions and corporate borrowers and has worked with business in various industries, including the retail, manufacturing, transportation, and financial sectors.

Suzanne also has a diversified corporate and commercial practice and significant expertise with respect to sales and acquisitions of businesses and assets, commercial real estate, joint ventures, commercial leases, licensing, and shareholder matters.

Drawing on her experience in bankruptcy, insolvency, restructuring and commercial litigation, Suzanne also provides advice to her clients with respect to the financing, sale or purchase of assets in a context of financial distress, debt restructuring, or with respect to the completion of complex or litigious acquisitions.

Suzanne regularly advises clients on viable alternatives to litigation.  She is a commercial and civil mediator, accredited by the Institut de Médiation et d’Arbitrage du Québec (IMAQ).

Representative Work

Represented financial institution with respect to multi-jurisdictional asset-based lending credit facilities in favour of major automobile parts manufacturer ($150M)

Legal counsel to syndication agent with respect to $180M financing in favour of international supplier;

Conversion of $60M of syndicated loans in shares and partnership units for purchase of commercial real estate through plan of arrangement;

Represented Canadian retailer with respect to $35M asset-based lending facility;

Canadian counsel to lender with respect to $50M asset-based credit facility in favour of Canadian toy manufacturer;

Represented syndication agent with respect to $500M syndicated loan to metal recycling company;
