Michael Gaon is a Partner in KRB’s Banking and Finance group.

He has built a highly regarded practice with a particular focus on secured financing, corporate and commercial transactions, business and asset acquisitions, and real estate financing and development. He also has extensive experience in bankruptcy, restructuring, and insolvency matters, including formal proceedings and transactions involving financial distress.

Michael brings extensive experience working with banks, asset‑based lenders, equipment and finance lenders, and other innovative financing providers. He advises clients on the structuring, negotiation, and implementation of complex financing and transactional matters, providing strategic guidance aligned with their commercial realities. His practice also extends to the implementation of corporate structures, such as negotiating and drafting shareholders’ agreements and developing mechanisms aligned with his clients’ strategic objectives.

Drawing on his strong background in restructuring, he also advises lenders and purchasers in connection with acquisitions of assets and businesses carried out in insolvency or restructuring contexts.

Michael has developed a strong real estate finance practice, particularly in joint ventures and complex financing structures. He frequently advises clients on the financing and acquisition of real estate assets, as well as on real estate development projects.

In addition to his transactional practice, Michael has lectured at the American Bar Association and has been a frequent speaker for various professional associations.

Representative Work

  • Acted for Maynards Industries Ltd. in the sale of certain Engine Maintenance Division assets of Aveos Fleet Performance to Lockheed Martin Canada in CCAA proceedings.
  • Advised Imperial Capital Corporation in its acquisition of Lise Watier Cosmétiques.
  • Represented the Leroux Steel group in closing a $120 million asset-based financing led by Bank of America and GMAC Commercial Credit Corporation–Canada.
  • Advised YottaYotta Inc. in securing $25 million in Series B financing from institutional investors.
