Marc-Antoine L. Fortin

Marc-Antoine is a partner in KRB’s Mergers and Acquisitions, Corporate and Commercial Law group, as well as the Banking and Finance group. His expertise includes corporate and real estate financing, mergers and acquisitions, corporate reorganizations, commercial real estate, and the negotiation of various transactions and commercial agreements.

He represents, advises, and works closely with businesses and financial institutions on a wide range of commercial, transactional, and financing matters, providing strategic, results-oriented legal guidance.

Marc-Antoine earned his law degree and MBA from Université Laval, where he also served as captain of the Rouge et Or football team before joining the Hamilton Tiger-Cats in the Canadian Football League.

  • Acted for a major financial institution in connection with the financing of the acquisition of the iconic building known as “La Pyramide” in Québec.
  • Acted for a Canadian chartered bank in connection with the financing of the acquisition of L’Oeufriers’ franchises by Groupe Abbatiello.
  • Acted for a group of buyers in the acquisition of shares of Bijoutiers Doucet, which operates jewelry stores in more than 30 locations across Québec and Ontario.
  • Acted for Canadian chartered banks regarding the financing of an intergenerational transfer transaction of a major group of heavy truck dealerships with multiple business locations in Québec and Ontario, as well as the acquisition by this group of a property in Ontario in the context of proceedings under the Companies’ Creditors Arrangement Act, and the refinancing of the group’s real estate portfolio.
  • Acted for a Canadian chartered bank regarding the refinancing of a company operating in the restaurant industry under several banners in Québec, Ontario, Nova Scotia, and New Brunswick, in the context of a corporate reorganization involving more than 100 entities.
  • Acted for the shareholders of clinics operating under the Axo Physio banner in the sale of all their shares to Groupe Santé Universelle Inc., a subsidiary of Lifemark Health Corp.
  • Acted for a Canadian chartered bank regarding facilities granted to a group of companies operating well-known hotels in the Greater Montréal area, in the context of a reorganization of the hotels’ ownership structure and to finance their ongoing operations following these transactions.
  • Acted for the buyer in the financing of the acquisition of a majority interest in an entity operating in the telecommunications industry, responsible for distributing and selling products across Canada.
  • Acted for a Canadian chartered bank regarding the financing of the acquisition of an iconic two-building hotel in Old Montréal.
