Representative Work

• Acted on behalf of Phoenix Partners in the acquisition of a majority of the issued and outstanding shares of Alimentation Dynamic Inc. and Artic Blast MTL Inc., companies involved in the processing and distribution of meat products. Alimentation Dynamic Inc. is best known for distributing products under the “Furca” brand name. Also acted on behalf of the acquirer in the related financing of the acquisition and in connection with the pre-closing corporate reorganization.
• Acted on behalf of Phoenix Partners and Groupe Alimentation Dynamic Inc. in the acquisition of all the issued and outstanding shares of another corporation also engaged in the processing and distribution of meat products, and in connection with the pre-closing corporate acquisition structure.
• Represented the vendors in the acquisition by Lineage Logistics Canada Holdings Ltd., a Canadian entity of one of the world’s largest refrigerated warehousing companies, in connection with the sale of shares and assets of their family-owned business operating in the cold storage sector, and assisted them with their representation before the Commission de la protection du territoire agricole (CPTAQ) and the C.M.I.P.Q.
• Represented the purchaser in the acquisition of the art gallery “Galerie de Bellefeuille” and the real property located in Westmount, and acted in the negotiation of the transaction.
• Represented the purchaser in the acquisition of all the shares of the corporation owning and operating Clinique de médecine industrielle et préventive du Québec (C.M.I.P.Q), a private medical clinic considered one of the most advanced in the field of occupational medicine; led the KRB M&A team in the due diligence process, the negotiation of the share purchase agreement, and the financing of the acquisition.
• Represented the purchaser in the negotiation of its $200,000,000 syndicated acquisition financing and $20,000,000 of subordinated debt in one of the most significant 2025 M&A transactions, and assisted the KRB M&A team in the acquisition, acting on behalf of the purchaser.
• Represents Lallemand Inc. in the negotiation of all aspects of its syndicated financing and assists in connection with its acquisitions and corporate structure. Lallemand Inc. is a privately held global company headquartered in Canada and one of the major players in the global yeast industry, specializing in the development, production, and marketing of microorganisms (yeasts, bacteria, fungi) and their derivatives.
