Diana is an attorney whose corporate/commercial transactional practice focuses on commercial real estate, banking and finance, environmental law and M&A. Prior to joining KRB, she was a Partner at a top-tier Canadian law firm.

She has been providing strategic advice to clients for nearly two decades with respect to their secured lending and commercial real estate transactions with regards to a variety of asset classes, including industrial, commercial and multi-residential, as well as in various industry sectors including manufacturing, pulp and paper and renewal energy. Diana’s banking and finance practice focuses on real estate lending, acquisition financing and the financing of the commercial operations of her clients via traditional and asset-based lending structures. Her real estate practice focuses on acquisition, divestiture, development, redevelopment and repositioning of real estate assets, and on the negotiation of complex leasing matters.

Diana’s clients appreciate her practical approach to risk management in a transactional context. She has key experience in advising her clients with regards to environmental, transactional and compliance risk and regularly advises on matters relating to brownfields liability and redevelopment.

Diana’s corporate/commercial practice centers around structuring joint ventures, partnerships, co-ownerships and other business relationships for her real estate and other corporate clients and drafting and negotiating their commercial agreements.

Acted on behalf of a notable residential, commercial and industrial real estate developer in respect of the construction financing of a 64-story mixed-use development totaling over 600,000 buildable sq. ft. located in Montreal’s Downtown core

Acted on behalf of a client in respect of its acquisition of over 3 million sq. ft. of vacant land located in Montreal East, representing an integral part of said client’s land assembly for a future development project and industrial park, including the construction of a new roadway, which required extensive negotiations with the City

Acted on behalf of a major Canadian chartered bank in respect of the granting of credit facilities to a special purpose vehicle comprised of three local real estate development groups in connection with the equity take-out and construction of a build-to-suit, single-tenant fulfilment centre located in Vaudreuil-Dorion and leased to a big-box retailer

Acted on behalf of a privately held diversified company with subsidiaries operating in a variety of industries across Canada and the U.S. in respect of its acquisition of an industrial property located in Saint-Laurent, which transaction required a complex environmental due diligence exercise and risk assessment analysis by virtue of the former owner’s operations

Acted on behalf of the wholly-owned subsidiary of an eminent Montreal real estate developer in respect of the acquisition of a Gatineau shopping centre and excess land representing over 161,000 leasable sq. ft.

Acted on behalf of a notable real estate developer in respect of lease negotiations with a sports and leisure retailer for the third phase expansion space of their existing warehouse and distribution facility

Acted on behalf of a prominent Montreal real estate owner and developer in connection with lease negotiations with a leading manufacturer and distributer of coffee makers and beverages in respect of premises totaling nearly 50,000 leasable sq. ft across 3 floors

Acted on behalf of a leading network of 18 recognized hearing care clinics across Quebec in connection with its acquisition of the assets of a competitor, helping to further secure the client’s reach across Quebec as well as their status as an industry leader in the provision of hearing care

Acted for an institutional real estate player in the negotiation of a long-term extension of a lease for premises in a landmark Montreal property for in excess of 250,000 sq. ft.

Acted for an out-of-province acquirer of a portfolio of properties in the City of Sherbrooke from BTB Real Estate Investment Trust for an aggregate purchase price of over $30M

Acted for a real estate developer in connection with multiple project financings aggregating over $100M

Acted for the owner/operator of a landfill gas-to-electricity plant located in Quebec to a Canadian subsidiary of an Australian energy company

Acted in connection with the sale of a 75% indirect interest in 8 hydroelectric generating facilities in Ontario in a transaction valued at $640M

Acted for several chartered Canadian banks in connection with structuring and implementing real estate debt financing and corporate debt financing

Acted for an out-of-province acquirer of a portfolio of properties in the City of Montreal from Cominar Real Estate Investment Trust for an aggregate purchase price of over $28M

Acted for Canada’s top physiotherapy equipment provider in its acquisition of a major player in the healthcare and physiotherapy supplies industry
